Sacramento, CA Business Brokers

Sacramento runs on more than state government. Behind the Capitol are thousands of privately owned companies: HVAC and solar contractors in Rancho Cordova, specialty food distributors near the Port of West Sacramento, dental groups in East Sacramento, restaurants on the Midtown grid and logistics yards off I-5 in Natomas. Our business brokers in Sacramento help the owners of those companies prepare for a sale, reach serious buyers without tipping off staff or competitors, and close on terms that reflect what they built.

We work with sellers across Sacramento County and the wider capital region, including Elk Grove, Folsom, Citrus Heights, Roseville, Rocklin, Davis, West Sacramento and Woodland. You pay nothing until the deal closes. How Our Sacramento Business Brokers Prepare Your Sale

Buyers in the capital region tend to be careful. Many are financing with an SBA loan, and the lender will want clean books, stable earnings and a clear reason the business will keep performing after you leave. Our job is to build that case before the first buyer sees your company.

    • Normalized earnings. We separate your salary, personal vehicles, family payroll and one-off expenses from the real profit of the business, and document each adjustment so it holds up in underwriting.
    • A clear view of contract risk. Many Sacramento companies sell to state agencies, school districts or large health systems. Buyers will ask how those contracts are awarded, when they renew and whether they can be assigned.
    • Licensing and compliance in order. Contractor licenses, ABC permits, health permits and the city business operation tax certificate are reviewed early so they do not hold up escrow.
    • Confidential marketing. Your company is presented through an anonymous profile that describes the opportunity without naming it.
    • Buyers from inside and outside the region. We reach local operators, Bay Area buyers looking for lower costs, out-of-state acquirers and private equity groups building platforms in Northern California.

The Path From Listing to Closing

    1. First conversation. We ask what a good outcome looks like for you, how quickly you need to move and what role, if any, you want afterward.
    2. Document review. Recent tax returns, current-year financials, payroll summaries, the lease, key contracts and a list of equipment and inventory.
    3. Valuation and pricing. We set an asking range grounded in your adjusted cash flow and recent sales of similar businesses.
    4. Buyer outreach. Interested parties sign a nondisclosure agreement and provide financial information before receiving the full offering memorandum.
    5. Offers and negotiation. Price, down payment, seller financing, working capital and transition terms are laid out side by side.
    6. Due diligence. Buyer questions are answered through an organized data room while you keep running the business.
    7. Escrow and transfer. Your escrow officer, attorney and CPA work from one closing checklist until funds are released.

Owners of larger companies, such as a multi-location healthcare group or a regional distributor, may benefit from a competitive sale process led by our M&A advisory team.

The Sacramento Economy and Who Sells Here

Sacramento is California’s capital and the seat of Sacramento County. The U.S. Census Bureau put the city’s population at 536,449 in its July 2025 estimate. The city sits where the American River meets the Sacramento River, at the junction of Interstate 5, Interstate 80, U.S. 50 and Highway 99, which makes it a natural base for distribution and service companies covering Northern California.

State government is the best-known employer, but the private economy is broad. Large employers in the county include UC Davis Health, Kaiser Permanente, Sutter Health, Dignity Health, Sacramento State, Golden 1 Credit Union, SMUD, VSP Vision, Intel in Folsom and Aerojet Rocketdyne in Rancho Cordova. Each relies on smaller suppliers and contractors, many of them founded by owners who are now thinking about retirement.

    • Neighborhoods and nearby cities: Downtown, Midtown, East Sacramento, Land Park, Natomas, the Pocket, Arden-Arcade and Oak Park, along with Elk Grove, Folsom, Rancho Cordova, Citrus Heights, Roseville and West Sacramento.
    • Businesses that often come to market: government contractors and consultants, home health agencies and medical practices, construction trades, solar and HVAC installers, landscape and facility services firms, wholesale distributors, auto repair shops, restaurants and breweries.
    • Typical buyers: local owners adding a second location, Bay Area buyers priced out of their home market, strategic acquirers from other states, search fund investors and private equity firms.
    Sector Why buyers pay attention
Healthcare services Several large health systems and an aging population generate steady referrals
Government services and consulting Long agency relationships and recurring contract revenue
Construction and building trades Ongoing housing and infrastructure work across the region
Food, beverage and agriculture Farm-to-fork supply chains that reach the Central Valley and the Bay Area

Own locations elsewhere in the state? Our Fresno business brokers work with owners throughout the San Joaquin Valley.

Keeping Your Sale Quiet in a Government Town

Sacramento is a large metro area, yet many of its industries are small worlds. Contractors bid against the same competitors for the same agencies, health practices share referral networks, and restaurant owners on the grid tend to know one another. Word that you might sell can rattle key staff or give a rival an opening with your customers, so we agree on a disclosure plan with you before any outreach starts.

    • No names up front: the teaser describes your industry, size and earnings, never your company name or address.
    • Screened prospects: buyers sign an NDA and share proof of funds or financing before they learn who you are.
    • Discreet visits: buyers tour before opening, after closing time or in a way that will not raise questions.
    • Staged disclosure: customer lists, contract pricing and employee details wait until a letter of intent is in hand.
    Situation Our approach
A competitor asks to see your financials Tighter screening and summary figures until its intent is clear
A manager asks about the people touring the office A short, agreed answer, plus a timeline for briefing the team
A public agency contract needs consent to assign Approval requested once terms are agreed, with the buyer’s qualifications ready
The strongest buyer is in another state Wider marketing with the same confidentiality steps

    Why Sacramento Owners Choose DealPipe

We sit on your side of the table, with a team that prepares the business, protects your privacy and keeps the deal moving until it funds.

A Team, Not a Single Agent

Valuation, marketing and closing are handled by people who focus on each stage, so momentum never depends on one person’s calendar.

    Buyers Who Can Close

Prospects prove their financing and relevant experience before they see anything that identifies your company.

    Issues Resolved Early

We look for gaps in licenses, contracts, leases and records up front, before a buyer can use them to renegotiate.

A Plan Built for Your Industry

Selling a state contractor in Natomas is different from selling a Midtown restaurant, so the outreach and the deal structure differ too.
Old Sacramento waterfront and a riverboat on the Sacramento River below the downtown skyline

Before you sign with any firm, ask to see how it would value your business, which buyers it would contact first, who will manage your sale week to week and exactly what it charges. Clear, specific answers are a good sign. Vague ones usually point to a slower, less organized sale.

DealPipe welcomes those questions. We understand how the capital region’s mix of public-sector, healthcare and trade businesses is valued, we market well beyond Sacramento County, we report progress in writing and our fee is earned only at closing. From Midtown to Natomas to the Folsom corridor, owners get a realistic price range and a timeline they can plan around.

    Start With a Confidential Conversation

    Buyer Guide

    Buying a Business in Sacramento

Looking to buy a company in the Sacramento area? The region offers a large and growing customer base, lower costs than the Bay Area and a stable anchor in state government and healthcare. We help buyers find businesses that fit their experience and budget, test the numbers and move the purchase through escrow. Browse current opportunities and see how DealPipe supports people buying a business.

What to Review Before Making an Offer

    • Contract revenue: how much income comes from public agencies or a few large clients, and whether those agreements can be assigned to a new owner.
    • Licenses tied to people: whether a contractor license, professional license or ABC permit depends on the current owner or a key employee.
    • Lease terms: remaining term, renewal options, scheduled rent increases and the landlord’s position on assignment.
    • Staff retention: who the critical employees are and what it may take to keep them through the transition.
    • Working capital: how much cash, inventory and receivables the business needs to operate normally after closing.

    How California Deals Close

Once a seller accepts your offer, you and your advisors use the diligence period to verify the financials, tax filings, contracts and physical assets. SBA 7(a) loans, frequently paired with a seller note, are a common way to fund deals of this size. In California the transaction usually closes through an escrow company, which can handle the bulk sale notice where required and hold back part of the purchase price until the seller provides tax clearance certificates from the state. Noncompete agreements are generally unenforceable in California, with an exception for owners who sell the goodwill of their business. We coordinate the lender, escrow and both parties’ attorneys so the closing date holds.

    1. Sign a confidentiality agreement to receive the summary.
    2. Read the full memorandum and write down open questions.
    3. Visit the site and spend time with the seller.
    4. Make a written offer that states price and structure.
    5. Finish diligence and loan approval, then take over at closing.

    Sacramento Business Broker FAQ

What do Sacramento business brokers charge?

Our fee is a success fee, paid out of the sale proceeds when the deal closes. We do not charge upfront retainers or monthly fees, and the percentage is set out in a written agreement before marketing begins. Because we are paid only when your business sells, our time goes to buyers who are qualified and motivated to close.

How is a Sacramento business valued?

Buyers usually start from adjusted earnings (seller’s discretionary earnings for smaller firms, EBITDA for larger ones) and apply a multiple shaped by industry, size and risk. Buyers here also weigh contract renewals, reliance on public agencies, licensed staff, lease terms and how involved you are day to day. Our free valuation calculator offers a quick first estimate.

How many months should a Sacramento sale take?

Plan on several weeks to prepare and then, in most cases, several months of marketing, negotiation and diligence. Organized records and a realistic asking price shorten the process. SBA underwriting, landlord approval, contract assignments, liquor license transfers and state tax clearances can each stretch the calendar, which is why they go on the schedule from the first week.

Can I sell my business in Sacramento without employees finding out?

Usually, yes. We market the company without its name and reveal it only to prospects who have signed a confidentiality agreement and documented their funding. We schedule visits discreetly and hold back sensitive information, such as payroll and customer pricing, until late in the process. You decide when and how staff and key clients are told.

What California rules affect selling a business?

Several. Sales usually close in escrow, and a bulk sale notice may be required depending on the type of business and deal. Escrow typically withholds funds until you obtain tax clearances from the California Department of Tax and Fee Administration and the Employment Development Department. Liquor licenses transfer through the ABC, and noncompetes are enforceable mainly when tied to selling goodwill.

Do you work with owners in Elk Grove, Roseville and Folsom?

Yes. We represent sellers throughout Sacramento, Placer, Yolo and El Dorado counties, including Elk Grove, Folsom, Rancho Cordova, Citrus Heights, Roseville, Rocklin, Davis, West Sacramento and Placerville. Every client receives the same confidential marketing, careful buyer screening and success-fee structure, wherever the business is located in the region.
