Andrew McSwain handled the sale of my Amazon business with me. He was knowledgeable, professional, and very responsive for the entire exit process. Before I came to DealPipe I had actually tried selling the business on my own. One call with Andrew made me realize how much I did not know and could not handle alone. He has deep financial and accounting expertise, and he has operated and exited a mid-sized ecommerce operation of his own, which was a valuable asset. About 6 offers came in from potential buyers, and we narrowed them down to the one that fit me best. Needless to say, the final outcome pleased me very much! I hope to build up another business and sell it through DealPipe in the future.
Sell Your Amazon FBA Business
Amazon FBA Business Brokers & M&A Advisors
Thinking about how to sell your Amazon FBA business? Start with the questions a serious buyer will ask first. How much profit is left after referral fees, fulfillment and storage charges and ad spend? Is the brand protected by a registered trademark and Brand Registry? How exposed is it to one supplier, one hero ASIN or one policy change? Owners who answer those questions with clean numbers attract competing offers. Owners who cannot tend to get a discount, or no deal at all.
DealPipe’s Amazon FBA brokers and M&A advisors represent private label brands, multi-channel consumer product companies and Amazon portfolios. We rebuild your earnings the way acquirers underwrite them, present the brand confidentially to funded buyers, and manage diligence, the inventory count and the handover of trademarks, listings and supplier relationships through closing.

Why Sell Your Amazon FBA Business Through a Broker
Plenty of Amazon sellers receive emails from buyers and aggregators, and some try to run the sale on their own. That can work when the brand is small and the buyer is already known. Once the business earns meaningful profit, the gaps tend to surface in diligence: a P&L kept on a cash basis, add-backs nobody can document, inventory valued at retail instead of landed cost, or a supplier arrangement that was never put in writing.
We close those gaps before a buyer finds them. Revenue is tied to Seller Central settlement reports and bank deposits. Profit is restated on an accrual basis and converted into SDE (seller’s discretionary earnings) or EBITDA. Owner pay, one-time product launches and personal expenses are added back only where they can be supported. Inventory is counted and valued at landed cost, so working capital does not derail the deal in its final weeks. For a head start, see what documents are needed to sell a business and begin collecting them now.
Then we create competition. Rather than negotiating with whoever emailed first, you compare qualified offers on headline price, cash at closing, inventory treatment, earn-outs and the length of your transition support. If you are still comparing firms, read how to choose a business broker before you sign anything.
What Drives Amazon FBA Business Valuation
Most owner-operated FBA brands are priced on trailing twelve-month SDE, and multiples of roughly two to four times SDE are common at that size. Larger brands with a team and several sales channels are more often valued on EBITDA in a structured M&A process. Where your brand lands inside a range depends on risk, and buyers look hardest at these points:
- Margin after Amazon. Referral fees, fulfillment and storage fees, returns and advertising all come out before profit. Buyers rebuild contribution margin per SKU, and a brand whose margin depends on cheap clicks is discounted.
- Brand protection. A registered trademark, Brand Registry, original product designs and, where relevant, patents make listings harder to copy and easier to defend against hijackers.
- Concentration. One ASIN producing most of the profit, one factory making everything or one marketplace driving all sales are the most common reasons a multiple shrinks.
- Reviews and ranking. Review count and rating, organic rank on core search terms and steady sales velocity show whether demand is earned or bought.
- Supply chain. Written supplier terms, a backup manufacturer, reliable lead times and documented quality control reduce stockout and tariff risk.
- Account health. A clean performance record with no open policy warnings or past suspensions is a baseline requirement for most buyers.
- Channel mix. Sales through a Shopify store, Walmart Marketplace, wholesale or retail accounts add resilience if Amazon changes its fees or rules.

Types of Amazon Businesses We Sell
We represent Amazon sellers across categories and business models, and we put each one in front of the acquirers who will value it most:
- Private label brands. Single-brand and multi-brand companies in categories such as home and kitchen, pet, beauty, supplements, outdoor and baby products.
- Multi-channel consumer brands. Brands selling on Amazon alongside a direct-to-consumer site, Walmart, wholesale accounts or brick-and-mortar retail.
- Amazon portfolios. Several brands under one seller account or holding company, packaged for strategic buyers and investment groups by our M&A advisory team.
- Patented and proprietary products. Brands with utility or design patents, custom tooling or formulations that rivals cannot simply source from the same factory.
- International sellers. US brands that also trade on Amazon marketplaces in Canada, the UK, Europe or Japan.
- Wholesale and replenishment sellers. Businesses built on authorized distribution of established brands, where the value sits in supplier agreements and operating systems.
If most of your revenue comes from your own website rather than Amazon, see how our ecommerce business brokers approach direct-to-consumer exits.

Your numbers
We value on your trailing twelve months, because that is what buyers underwrite. The prior full year sits beside it so we can read your growth. Round numbers are fine.
| Prior full yearCalendar 2025 | Trailing 12 monthsOct 2025 to Sep 2026 | |

| equals Seller’s Discretionary Earnings | $0 | $0 |
Add-backs are the expenses a new owner would not carry: your own salary, personal costs run through the business, one-time expenses, depreciation and interest. Adding them back to net profit gives SDE, the number buyers actually pay a multiple on.

This automated estimate uses earnings multiples drawn from live deals our brokers handle. FBA brands with heavy ad dependence, one dominant ASIN, open account issues or large inventory swings may price differently. Read the result as a rough guide. Build Your Amazon FBA Exit Strategy Early
The strongest FBA exits are planned 12 to 24 months ahead. Switch to accrual accounting and keep monthly P&Ls that reconcile to Seller Central and your bank. Register the trademark in the company’s name and confirm Brand Registry sits with the business, not with you personally. Put supplier terms in writing, line up a second manufacturer for your best sellers and resolve any open account health issues. If one product carries the brand, grow a second before you go to market. Owners planning retirement or a move to a new venture gain the most from this runway, because each risk removed before the sale is one a buyer cannot price against you.

Who Buys Amazon FBA Businesses
Buyers for Amazon brands fall into a few groups. Individual entrepreneurs and search fund operators want a profitable brand they can run with a small team and grow, and many finance the purchase with an SBA-backed loan. Holding companies and portfolio operators, including the aggregators that bought heavily in 2020 and 2021, are generally more selective than at the peak and favor brands with strong margins and defensible products. Consumer product companies and retailers acquire brands that fill a gap in their catalog or bring proven Amazon know-how, and private equity groups back larger multi-channel brands with a management team in place.
Each group weighs risk differently, so matching your brand to the right one matters as much as the asking price. The deals in our recently sold businesses archive show how varied these exits are, and our explainer on seller holdbacks covers how part of a price can depend on results after closing.

Selling an Amazon FBA Business: FAQ
Most owner-run Amazon FBA businesses are priced off the last twelve months of SDE, often at around two to four times, while larger brands may be priced on EBITDA. Healthy margins after Amazon fees, a registered trademark, several profitable ASINs and diversified suppliers lift the multiple, and inventory is usually handled separately. Ask for a free business valuation to get a figure built on your own data.
Prepare 12 to 24 months of accrual-based P&Ls that reconcile to Seller Central and bank statements, and have the business professionally valued. From there, a broker drafts a confidential profile, qualifies buyers and gets NDAs signed, negotiates the LOI, guides diligence and coordinates escrow, the inventory count and the transfer of the brand and listings. Our overview of how to sell your business walks through each stage.
Many FBA sales close within a few months of going to market. Clean accrual financials, a healthy account and a trademark already owned by the company shorten the process. SBA-financed buyers, larger brands, earn-outs and international marketplaces usually add time for lender review, diligence and legal documents, so plan for some flexibility.
A do-it-yourself sale can suit a small store whose buyer is already lined up. Once the brand earns meaningful profit, an Amazon FBA business broker tends to earn the fee by recasting earnings, valuing inventory correctly, reaching private buyers, keeping the sale confidential and negotiating terms such as earn-outs and transition support that first-time sellers often get wrong.
DealPipe is paid on performance alone: nothing upfront, no retainer, and a success fee that is due only if your Amazon business is sold. During a free, confidential consultation we set out how that fee works for your specific deal, before any marketing begins.
Not freely. Amazon’s Business Solutions Agreement does not allow a seller to transfer the account or its rights without Amazon’s consent, and an update effective August 2026 tightened those terms. Deals are therefore built around the brand, trademark, inventory and listings, with the account step planned early around Amazon’s requirements and with qualified legal counsel.
Buyers include individual entrepreneurs and search funds, often using SBA financing, holding companies and Amazon aggregators, consumer product companies adding brands to their catalog, and private equity groups backing larger multi-channel brands. Each values different strengths, so we pair your business with the buyers who will value its margins, products and growth potential most.
An FBA broker typically sells owner-run brands to individual buyers and smaller operators. An M&A advisor runs a formal, competitive process for larger brands, often reaching strategic acquirers and private equity. DealPipe offers both through our M&A advisory services, so the process matches how large and complex your exit is.
Only if you tell them. Your brand is marketed without its name, ASINs or supplier details. Those details are released only to buyers who are under NDA and have verified their financing, and sensitive files such as factory contacts and ad accounts are shared in stages as the deal advances. When to tell your team and your manufacturers is your call.
